The authors describe problems causing distribution network efficiency decline and cause-and-effect relationship of network contributors and external environment. They have proposed conceptual approach to consumer goods distribution network formation, the prime constituent of which is its subjects’ interfacing efficiency. The authors did note the difficulty of this problem’s solution coming from necessity to consider the commodity distribution actors’ social, economic and financial relations peculiarity, diversity and complexity. They did analyze requirements, models and criteria of distribution networks formation with respect for market actors’ economic interest. The authors have substantiated the importance of forehanded determination of business efficiency and profitableness decline causes and factors.
